Legal
Terms of sale
The terms that apply when you set up a group or order a garment through TrackEd.
DRAFT: REQUIRES LEGAL REVIEW
This page is a working draft. It has not been reviewed by a lawyer and is not yet the final version that applies to orders.
[PLACEHOLDER: effective date]
1. Who we are
TrackEd is operated by TrackEd Pty Ltd (PLACEHOLDER), ABN 00 000 000 000, PLACEHOLDER address, Sydney NSW 2000. In these terms, "we" and "us" mean TrackEd, and "you" means the person placing an order or running a group.
2. How group orders work
A school admin (a staff member at the school) creates a group, builds one or more designs and opens orders with a deadline. Members of the group each place and pay for their own order. When orders lock, the school admin submits one consolidated order, which we pass to a supplier who makes the garments and ships them to the school. We do not hold stock.
Your individual order is a contract between you and us. It becomes binding when your group's order locks. Until then you can change or cancel it.
3. Prices and GST
All prices are in Australian dollars and include GST. There are no card surcharges. The price per garment depends on the product, the decorations in the design, any personalisation, and the price band set by the group's estimated quantity. The price shown when you pay is the price you pay, unless the group needs a top-up as described in clause 5. We issue a tax invoice for each paid order.
[PLACEHOLDER: confirm how freight is charged where it is not included in the garment price.]
4. Payment
Payment is taken when you order, through Stripe, by card, Apple Pay or Google Pay. A parent or guardian may pay on your behalf using a payment link. Where a school has chosen to pay for the whole group, the school is invoiced instead and payment terms are agreed with the school.
Orders that are still unpaid when the group's order locks are cancelled and are not included in the group order.
5. Minimums and price bands
Each design has a minimum quantity set by the supplier. If the final number of paid orders falls below the price band the group's price was set at, the school admin may extend the deadline, ask members for a top-up to cover the difference, or contact us. We will not submit an order that does not meet the supplier's minimum. If a group order cannot go ahead, paid orders are refunded in full.
6. Cancelling before the lock
You can cancel your order at any time before your group's order locks. If you have paid, we refund you in full to the original payment method.
7. Designs, logos and personalisation
When you upload a logo, crest or other artwork, you confirm that you own it or have permission to use it. Use of a school crest requires the school's agreement, which the school admin confirms. Personalisation is checked for offensive content and reviewed by the school admin. We may refuse or ask you to change personalisation that is offensive, infringes someone else's rights or that the school does not approve.
Colours on screen are a guide. Fabric and thread colours come from the supplier's range, and small differences between the screen and the finished garment are not a fault.
8. Proofs
Before production, the supplier prepares a proof. The school admin approves it on behalf of the group or asks for changes. Production starts only after the proof is approved. Please check spelling and placement carefully, because the garments will be made as shown on the approved proof.
9. Delivery
Garments are delivered in one consignment to the school address on the group. Delivery estimates are estimates only and are not guaranteed. Risk in the garments passes when they are delivered to the school. See delivery and returns.
10. Problems with your order
The school admin can report faulty, misprinted or incorrectly made garments from the group dashboard within 14 days of delivery. We will assess each report with the supplier and offer a remake, refund or credit where the garment is faulty or was not made as ordered.
11. Change of mind
Garments are custom made to your group's design and personalised for you. We do not offer refunds or exchanges for change of mind once your group's order has locked, including if you choose the wrong size.
12. Australian Consumer Law
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. Nothing in these terms limits those rights.
13. Liability
To the extent permitted by law, and apart from the guarantees in clause 12, our liability for any order is limited to resupplying the garment or refunding the price paid for it.
[PLACEHOLDER: liability wording to be confirmed by legal review.]
14. Privacy
We handle personal information as described in our privacy policy and collection notice.
15. General
These terms are governed by the laws of [PLACEHOLDER: state or territory], Australia. We may update these terms from time to time. The version that applies to your order is the one shown when you placed it.
16. Contact
Questions about these terms can be sent through our contact form or to platform@agentum.com.au.
